1. Terms and Conditions – Nitido Audio Video LLC

1. Payment Schedule

1.1 Cost of Goods:
– 50% deposit to order equipment
– 50% upon equipment delivery

1.2 Services:
– 50% when work commences
– 50% upon work completion

2. Late Payments
– Payments are due within 30 days of invoice issuance
– A monthly late fee of 10% of the total amount due will be charged on overdue payments

3. Change Orders
– All change orders after project commencement must be paid in full

4. Deposits
– Deposits are non-refundable, except in cases where HOA, city, or other required permits or approvals are denied

5. Contract Cancellation
– Once work commences, the contract cannot be canceled without written notice to Nitido Audio Video LLC
– All outstanding balances will remain due upon cancellation

6. Payment Methods and Terms
Payment is due upon completion of services unless otherwise agreed in writing

– Nitido Audio Video LLC does not offer refunds on credit card transactions or online payments
– No Refund Policy: 6.1. All credit card transactions are final and non-refundable.

6.2. Once a service has been rendered and payment processed, no refunds will be issued under any circumstances.
6. Scope of Work
– Any work not explicitly stated in the contract is not included
– Unknown underground objects encountered that may delay work are not covered under the original contract
7. Service Calls and Support
– A truck roll fee may apply for service calls over a 20-mile radius from our main office
– Support or troubleshooting calls lasting over 30 minutes for issues not related to Nitido Audio Video LLC’s work or equipment will be billed at our standard hourly rate

8. 8. Construction Lien
– Nitido Audio Video LLC reserves the right to file a construction lien (also known as a mechanic’s lien) on the property where work was performed if payment is not received as agreed upon in this contract
– This lien may be filed against the property to secure payment for labor, materials, or services provided
– Before filing a lien, Nitido Audio Video LLC will provide written notice to the property owner as required by state law
– The customer agrees to pay all costs associated with the filing and enforcement of the lien, including but not limited to attorney fees and court costs
– The lien will be released upon full payment of the amount due, including any additional costs incurred in the lien process

10. Worksite Photography
– Nitido Audio Video LLC retains the right to take and use images or videos of the worksite through various work stages for marketing and promotional purposes
– Customer names will not be used; only job-site locations will be utilized

11. Contract Acceptance
– Replying to the provided link or approving these terms and conditions constitutes your signature and agreement to the contract

12. Quote Validity
– Quotes are valid for 14 calendar days from the date of issuance

13. Additional Charges
– Shipping and handling fees may apply and will be specified separately

14. Warranty and Liability
– Nitido Audio Video LLC warrants its work to be free from defects in materials and workmanship for a period of 12 months from the date of completion
– This warranty does not cover damage resulting from misuse, accidents, or normal wear and tear
– Nitido Audio Video LLC’s liability is limited to repair or replacement of defective products or services

15. Force Majeure
– Nitido Audio Video LLC shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, or pandemics

15.1 Dispute Resolution
– Any disputes arising from this contract shall be resolved through negotiation, mediation, or arbitration before resorting to litigation
Under applicable civil code, mutual agreement between parties can be used and recognized in a court of law

This agreement shall be governed by and construed in accordance with the laws of California

Project Execution

20.1 Site Access and Preparation

Customer must provide clear access to work areas
Work area must be clear of obstacles and debris
Customer responsible for removing/protecting valuable items
Adequate parking must be provided for service vehicles

20.2 Working Hours

Standard working hours: Monday-Friday, 8:00 AM – 5:00 PM
Weekend or after-hours work subject to additional charges
Emergency service calls outside standard hours billed at premium rates

20.3 Permits and Compliance

Customer responsible for obtaining necessary permits unless specified otherwise
Work will comply with applicable building codes and regulations
Additional costs may apply for code compliance modifications

System Integration and Programming

21.1 Network Requirements

Customer must provide stable internet connection
Minimum bandwidth requirements must be met
Network credentials must be provided prior to installation
Customer responsible for network maintenance and stability

21.2 Software and Updates

System programming included in initial setup
Future programming changes may incur additional charges
Software updates not included in standard warranty
Remote support available for software issues

Post-Installation

22.1 Training and Documentation

Basic system operation training included
Additional training sessions are available at standard rates
Written documentation provided upon project completion
Video tutorials are available upon request (additional fee may apply)

22.2 Maintenance

Regular maintenance recommended but not included
Maintenance plans available at additional cost

Insurance and Safety

23.1 Insurance Coverage

Nitido Audio Video LLC maintains comprehensive liability insurance
Workers’ compensation coverage for all employees

All work performed following OSHA guidelines
PPE used as required by regulations
Right to stop work for unsafe conditions
